1. Introduction and Acceptance
Kodup is a digital platform for coupon management, personal coupon storage, marketplace listings, user-to-user communication, and OCR/AI-assisted coupon information extraction. Use of Kodup constitutes acceptance of these Terms.
2. Platform Role
Kodup operates solely as a technology platform. It is not a party to transactions between users, does not process payments, does not hold funds, does not provide escrow services, does not verify seller or buyer identities, and does not guarantee coupon validity or successful transactions.
3. User Accounts
Users are responsible for maintaining account security, providing accurate information, complying with applicable laws, and avoiding fraud, impersonation, or misuse. Kodup may restrict, suspend, or terminate accounts at its reasonable discretion.
4. Age Restrictions and Legal Capacity
Kodup may only be used by individuals aged 16 or older, or by users possessing the legal capacity required under applicable law. Users below the applicable age of majority must obtain parental or legal guardian consent where required.
5. Personal Coupon Wallet
Kodup allows users to store, organize, and manage personal coupons. Users are responsible for verifying the accuracy of information stored in their personal wallet. Kodup does not guarantee coupon validity, availability, redemption, or accuracy of submitted or extracted information.
6. OCR, AI and Automated Extraction
Kodup may use OCR technologies, artificial intelligence systems, and automated extraction tools. These systems may generate errors, incomplete information, inaccurate data, incorrect dates, or automatically inferred information that may be unreliable. Users are responsible for reviewing and correcting all information before saving, publishing, or relying on it.
7. Marketplace Listings and User Content
All listings, coupons, images, messages, and other marketplace content constitute user-generated content. Users may not publish fake coupons, stolen coupons, non-transferable coupons, misleading content, fraudulent promotions, unlawful content, or infringing content.
8. User Communications
Kodup enables communication between users through chat features. Users are solely responsible for all communications, transactions, and interactions. Users may not use chat features for harassment, fraud, spam, impersonation, threats, or unlawful content distribution.
9. Intellectual Property, Trademarks and Infringing Content
Users may not upload content that infringes intellectual property rights, use logos or branding in a misleading manner, publish confidential materials, or impersonate official brands or businesses. Reports may be submitted to support@kodupapp.com.
10. Sponsored Content, Affiliate Links and Advertising
Kodup may display advertisements, sponsored content, affiliate links, commercial offers, partner promotions, and external links, and may receive related commissions or revenue. Display of commercial or sponsored content does not constitute endorsement, verification, recommendation, or guarantee by Kodup.
11. Monitoring, Privacy and Data Retention
Kodup may remove, restrict, disable, or terminate content and accounts at its reasonable discretion. Use of Kodup is also subject to the Privacy Policy, and certain information may be retained for security, fraud prevention, complaint handling, legal compliance, and marketplace integrity.
12. "As Is" Disclaimer and Limitation of Liability
Kodup is provided on an "As Is" and "As Available" basis. To the maximum extent permitted by applicable law, Kodup and its operators shall not be liable for indirect damages, lost profits, business losses, failed transactions, data loss, or user fraud.
To the maximum extent permitted by applicable law, the total aggregate liability of Kodup, its operators, employees, contractors, and service providers arising out of or relating to the platform, its services, or these Terms shall not exceed the total amount actually paid by the user to Kodup during the twelve (12) months preceding the event giving rise to the claim. If the user has not paid any amount to Kodup during such period, Kodup's maximum liability shall be limited to the minimum amount permitted under applicable law.
13. Indemnification, Notices and Changes
Users agree to defend, indemnify, and hold harmless Kodup and its operators from claims or expenses arising from Terms violations, unlawful activity, fraud, misleading content, or misuse. Kodup may send service notices, security alerts, legal updates, and marketing communications subject to applicable law, and may update these Terms from time to time.
14. Governing Law, Jurisdiction and Language
These Terms shall be governed by the laws of the State of Israel. Exclusive jurisdiction for disputes shall reside with the competent courts in Israel. In the event of inconsistency between versions, the Hebrew version shall prevail.
